Terms of Sales

When signing up for the Wholesale Program, proof of physical business presence in the form of a reseller license or EIN number is required.

No Online/Internet Sales: Retailer is prohibited from promoting, selling, or soliciting any MRO MaryRuth, LLC ("MRO") product on the Internet unless Retailer has been pre-approved for such activities in writing by MRO.  The marketing, selling, or soliciting of MRO's products is PROHIBITED on any marketplace sites, social media sites, online auction sites, community sites or flash sale sites.  If the Retailer engages in any of these prohibited online activities, MRO may immediately terminate Retailer's wholesale account and Retailer forfeits any and all payments previously made to MRO.  In addition to any other remedies MRO may have, MRO is entitled to recover costs and reasonable attorney's fees from Retailer in connection with MRO's efforts to stop or prevent such prohibited activities and to recover damages as a result of Retailer's failure to abide by these terms and conditions.

Copyright & Intellectual Property

All of the designs, products, and content within and any materials made available on the website are the sole property of MRO MaryRuth, LLC. The website, designs, products, images and content within are protected by copyright and intellectual property law and may not be reproduced in any form without the express written consent of MRO MaryRuth, LLC. The Retailer hereby agrees not to reprint, post, or copy (including electronic or digital scans) any photography, sales materials, or product designs without the advance, express written consent of MRO MaryRuth, LLC.

Pricing Policy

MRO MaryRuth, LLC grants the Retailer freedom to price the products according to their discretion, for sale in the Retailer’s office and/or store. The Retailer agrees to keep wholesale pricing of MRO MaryRuth, LLC confidential. The Wholesaler reserves the right to alter wholesale pricing at any time except in the case of outstanding invoices.

The Retailer is responsible for collecting and submitting all sales tax garnered in the sales of MRO MaryRuth, LLC products from their storefront. Furthermore, the Retailer is required to obtain and maintain any sales tax permits or licenses that may be required for their jurisdiction. In the event that the Retailer fails to do so, any costs, fees, or penalties that MRO MaryRuth, LLC incurs as a result shall be immediately reimbursed by the Retailer. 

Shipping & Handling

The seller incurs the shipping costs on all domestic orders under $250 and products will be shipped by UPS Ground, FedEx or USPS, based on affordability. Products may be shipped from manufacturing facilities, and thus may arrive in parcels by product type.

In the event of a damaged shipment, the Retailer agrees to contact MRO MaryRuth, LLC within 3 business days of delivery, to be reported in writing by email with photo documentation. Retailer may not receive credit for the return until written authorization has been received. 

Payment Information

Payment can be made by credit card right on the website at checkout, which will be followed by a confirmation email. Once the order is placed, please allow one business day for processing.

Miscellaneous

If any provision of these Wholesale Program terms and conditions is held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability will not affect the effectiveness or validity of any other provision, and these Wholesale terms and conditions will be reformed, construed, and enforced as if such provision had never been contained herein.
